Frequently Asked Questions

WHY ISM INSTEAD OF NYSE OR NASDAQ?

Going Public with NYSE & NASDAQ is both exciting and terrifying. They are certainly the big guns in the industry and having bragging rights of going public with them is something many companies attempt to leverage. However, once the excitement is over, there are quarterly reports and dealing with predators who short your stock, attempting to profit from your business failing, even if you are surpassing quarterly expectations. If you don’t have tens of millions for stock management acquisition and the know-how to manage such manipulation, you could be devalued, delisted or out of business quicker than it took to go public. With ISM, there are no derivatives. No short selling. Investors profit as you do.

HOW LONG DOES IT TAKE TO GO PUBLIC?

With a full S1 Registration it can take up to two years, and full time efforts of some of your key personnel. With a REG A+ Registration with ISM, we can have you accepting investments within three to six months if your books are in order.

HOW MUCH DOES IT COST TO GO PUBLIC?

The S1 Registration to go public averages over $2 million and over $150K a year. Even acquiring a shell entity can cost $250,000 and more including PCAOB audits.. ISM consulting and their Reg A+ Registration is only $100,000 plus only a GAAP audit, and $58K a year.

What is the difference between Equity Crowdfunding & Reward Based Crowdfunding?

Reward based crowdfunding invites everyone to pre-purchase a product in order to help entrepreneurs pre-sell their product to get the capital to design, produce and distribute the item to the purchasers. Equity crowdfunding is INVESTING in that business. Buying ownership in the profits of the company.

How can we raise money from our customers and supporters that are not accredited?

Equity Crowdfunding or Going Public with REG A+ through ISM provides the legal documents and online campaign process to allow non-accredited and accredited people to invest directly into your company.

As a business owner how do I figure out what my valuation is and the price per share I should sell my stock for?

There are several ways to calculate your valuation. Part of the services ISM does is coach you on the options and help you with these important decisions, including how much you should raise in each phase.

As an investor, how can I be an ICON, Studio Audience Investor or have my Investment Club featured on your affiliated TV show America's Real Deal?

You need to be an accredited investor and willing to impact the business owners and investors in order to apply.  If you are the manager of an Angel Investment Club with a club that is determined to make an impact – you can also apply in that business. Buying ownership in the profits of the company.
